1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the Sonaro software application (available on mobile and desktop devices) and our website at https://sonaro.in, operated by VRSONI Soft ("we", "us", or "our"), based in Jodhpur, Rajasthan, India.

By registering, downloading, installing, or utilizing the Sonaro software or services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these terms, do not install or use our software.

2. Description of Service

Sonaro is an ERP, retail billing, inventory management, barcode generating, and customer ledger software system specifically built for jewellery manufacturers, wholesalers, and retail jewellers. Key capabilities include:

• Offline-first point-of-sale (POS) invoice generation and GST billing.
• Precious metal inventory tracking (Gold, Silver, Platinum, Diamond, Gemstones) with karats, purity, net weight, gross weight, and making charge calculators.
• Customer udhaar/khata and payment ledger records.
• Automated metal price synchronization and thermal receipt printing.
• Encrypted database backup and restore features via local storage and Google Drive.

3. User Account and Responsibilities

To access certain premium features, you may be required to register an account. You agree to:

• Provide accurate, current, and complete business details during setup.
• Maintain the confidentiality of your login PINs, passwords, and security keys.
• Assume full responsibility for all activities occurring under your account or by staff members assigned under your shop profile.
• Notify us immediately of any unauthorized access or security breach involving your account.

4. Intellectual Property & License Grant

VRSONI Soft grants you a limited, non-exclusive, non-transferable, revocable license to install and execute Sonaro solely for your legitimate business management operations.

All rights, titles, and interests in and to Sonaro—including source code, UI designs, brand logos, trademarks ("Sonaro", "VRSONI Soft"), and algorithms—remain the exclusive property of VRSONI Soft. You agree not to reverse engineer, decompile, modify, duplicate, resell, or distribute the software or any portion thereof.

5. Data Ownership & Customer Records

You retain 100% unconditional ownership of all commercial data, accounting transactions, customer lists, and jewellery inventory entered into Sonaro. We do not claim ownership of your business data.

6. Third-Party Integrations & Cloud Services

Sonaro provides optional integrations with third-party providers:

• Google Drive: Used strictly for user-directed cloud backups and restorations into your private Google Drive application folder (appDataFolder). Usage is governed by Google's Terms of Service and the Google API Services User Data Policy.
• Hardware Peripherals: Support for Bluetooth and USB ESC/POS thermal printers, barcode scanners, and weighing scales is provided as-is, subject to device compatibility.

7. Subscriptions, Fees and Payments

Certain advanced features, multi-device sync, and extended software support may require an active license subscription.

• Subscription fees are clearly displayed prior to purchase and are billed in advance on a periodic (annual or lifetime) basis.
• Payments are processed securely through certified payment gateways.
• Unless explicitly stated otherwise in a written service agreement, payments for software licenses are non-refundable once activated.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall VRSONI Soft, its directors, developers, or affiliates be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, business interruption, or loss of device data) arising from the use or inability to use the software.

You are solely responsible for maintaining regular backups of your business databases (via Google Drive or local storage exports).

9. Termination

We reserve the right to suspend or terminate your license or access to online services if you violate these Terms or engage in fraudulent activities. You may terminate these Terms at any time by discontinuing the use of Sonaro and requesting account deletion via https://sonaro.in/delete-account.html.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any legal disputes arising out of or in connection with these Terms or the software shall be subject to the exclusive jurisdiction of the competent courts in Jodhpur, Rajasthan, India.
